Terms of Service

1. Acceptance & Authority

By accessing or using the Site or any of our services, you agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and references to “you” mean that organization.

These Terms operate alongside, but do not replace, any signed Master Services Agreement (“MSA”), Statement of Work (“SOW”), Non-Disclosure Agreement (“NDA”), or other written agreement between you and Development United. In the event of a conflict between these Terms and a signed agreement, the signed agreement controls.

2. Services

Development United is an engineering and product studio. We provide software engineering, AI / ML systems development, mobile and web product development, applied research, advisory, technical due diligence, and related professional services (the “Services”).

Specific Services, deliverables, fees, timelines, acceptance criteria, and warranties for any engagement will be set forth in a separately executed SOW or MSA. Nothing on the Site constitutes a commitment to provide a specific Service or deliverable absent such a signed agreement.

3. Site Use & Eligibility

You must be at least 18 years old and have legal capacity to enter into binding agreements to use the Site or engage our Services. You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Attempt to gain unauthorized access to any portion of the Site, our systems, or related networks.
• Interfere with, disrupt, or impose an unreasonable load on the Site or its supporting infrastructure.
• Use the Site to transmit malware, viruses, harmful code, spam, or unsolicited communications.
• Reverse-engineer, decompile, disassemble, or scrape any part of the Site for commercial purposes without our prior written consent.
• Misrepresent your identity, affiliation, or the source of any information you submit.
• Use the Site in any manner that violates applicable law, infringes the rights of others, or could otherwise cause harm.

4. Intellectual Property

4.1 Our Materials

The Site and all content thereon, including text, graphics, designs, code, logos, trademarks, service marks, and trade names, are owned by Development United or its licensors and are protected by copyright, trademark, and other intellectual-property laws. Except as expressly permitted in these Terms, you may not copy, modify, distribute, sell, lease, publicly perform, or otherwise exploit any part of the Site without our prior written consent.

4.2 Limited Licence

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your internal business and informational purposes.

4.3 Client Work Product

Ownership of work product developed under an engagement (e.g. custom code, designs, documentation) is governed by the applicable SOW or MSA. Absent a contrary written agreement, deliverables produced under an engagement become the client’s property upon full payment of the related fees, while Development United retains all rights in its pre-existing tools, frameworks, libraries, methodologies, and general know-how, and in any improvements to the foregoing that are not specific to the client’s deliverables.

4.4 Feedback

If you provide feedback, ideas, or suggestions about the Site or our Services, you grant Development United a perpetual, worldwide, royalty-free, irrevocable, sublicensable licence to use, modify, and incorporate that feedback for any purpose, without compensation or attribution.

5. User Submissions

When you submit information through forms on the Site (including the “Book a Lena Labs squad” form), you represent and warrant that:

• The information you provide is accurate, complete, and not misleading.
• You have the right to submit that information, and submission does not violate any third-party rights or applicable law.
• You will not include any sensitive personal information (e.g. government identifiers, health data, payment card numbers) in submissions unless explicitly requested by us through a secure channel.

You grant us a non-exclusive, royalty-free licence to use submitted information to evaluate, respond to, and follow up on your inquiry, and to operate and improve our Services. We will treat your submissions in accordance with our Privacy Policy.

6. Confidentiality

Information exchanged between you and Development United in the course of a Services engagement that is marked confidential or that a reasonable person would understand to be confidential will be treated as confidential by both parties and used only for the purposes of the engagement. Specific confidentiality obligations (including duration, exceptions, and remedies) will be set forth in the applicable SOW, MSA, or signed NDA, which control over this Section in case of conflict.

Inquiry forms and general business communications submitted through the Site are not, by default, considered confidential unless a signed NDA is in place.

7. Fees & Payment

The Site itself is free to access. Fees, payment schedules, expense policies, late-payment charges, and refund terms for any engagement Services are governed by the applicable SOW or MSA. Unless otherwise stated in writing, fees are exclusive of applicable taxes, which you are responsible for paying.

8. Third-Party Services

The Site and our Services may integrate with or depend on third-party services, platforms, or APIs (e.g. Firebase, Google Cloud, AWS, OpenAI, Anthropic, payment processors, communication tools). Your use of those third-party services is subject to the third parties’ own terms and policies. Development United does not control and is not responsible for the availability, content, security, or practices of any third-party service.

9. Warranty Disclaimer

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVELOPMENT UNITED AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT INFORMATION ON THE SITE WILL BE COMPLETE, ACCURATE, OR CURRENT.

Express warranties for Services deliverables (if any) are governed exclusively by the applicable SOW or MSA.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DEVELOPMENT UNITED OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

Liability for Services delivered under an engagement is governed by the limitation-of-liability provisions in the applicable SOW or MSA, which control over this Section as to those Services.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above will apply to the maximum extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Development United and its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to:

• Your breach of these Terms or any policy referenced herein.
• Your access to or use of the Site.
• Your violation of any law or third-party right, including any intellectual-property, privacy, or publicity right.
• The content or accuracy of any information you submit to us through the Site.

12. Suspension & Termination

We may suspend or terminate your access to all or any part of the Site at any time, with or without notice, for any reason or no reason, including if we believe you have violated these Terms. Suspension or termination of Services delivered under an engagement is governed by the applicable SOW or MSA.

Sections 4, 5, 6, 9, 10, 11, 13, 15, and 16, and any other provisions that by their nature should survive, will survive termination.

13. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or relating to them or your use of the Site are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You agree that any action, suit, or proceeding arising from these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts.

The foregoing does not apply to disputes arising under an engagement SOW or MSA, which are governed by the governing-law and dispute-resolution provisions of those agreements.

14. Changes to These Terms

We may modify these Terms at any time. Updated Terms will be posted on the Site with a new “Last updated” date. Material changes will, where appropriate, be highlighted on the Site or notified by email. Your continued use of the Site after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Site.

15. Miscellaneous

• Entire Agreement. These Terms, together with the Privacy Policy and any signed MSA, SOW, or NDA, constitute the entire agreement between you and Development United regarding your use of the Site, and supersede any prior or contemporaneous agreements or understandings.
• Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
• Force Majeure. Neither party will be liable for any failure or delay caused by events beyond its reasonable control.
• Notices. We may provide notices to you via the email address you provide or by posting on the Site. You may provide notices to us at legal@developmentunited.com.
• Relationship. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Development United.
• Headings. Section headings are for convenience only and have no legal effect.
